1. 1. Introduction
Welcome to DBarreto Digital Solutions. These Terms of Service govern the use of our website dbarreto.net and all services offered by DBarreto Digital Solutions, including but not limited to: web design and development, WordPress, e-commerce, hosting, maintenance, SEO, automations, AgendaSaaS, and digital consulting. By accessing or using our services, you agree to be bound by these terms.
2. 2. Description of Services
DBarreto Digital Solutions offers web development, digital design, e-commerce, software as a service (AgendaSaaS), hosting, technical maintenance, SEO, automations, and related services. The specific details, deliverables, timelines, and pricing are governed by the contracted plan or, for custom projects, agreed upon individually and documented in separate proposals or contracts. We reserve the right to modify, suspend, or discontinue any service with prior notice.
3. 3. User Responsibilities
By using our services, you agree to: provide truthful and up-to-date information; not use our services for illegal or unauthorized activities; maintain the confidentiality of your access credentials; respect third-party intellectual property rights; and cooperate in a timely manner during the development process by providing necessary content, feedback, and approvals.
4. 4. Intellectual Property
All original content created by DBarreto Digital Solutions, including designs, source code, graphics, and documentation, is protected by copyright. Once full payment is completed, an exclusive use license for the delivered work is transferred to the client. DBarreto Digital Solutions reserves the right to use completed projects in its portfolio for promotional purposes, unless otherwise agreed in writing.
5. 5. Payment Terms and Guarantee
Our plans work with an initial payment plus a monthly fee. The initial payment covers the project kickoff and is paid to start; the monthly fee covers the ongoing service (hosting, domain, email, security, minor changes, and support) and is billed monthly. The monthly fee has a 12-month minimum commitment; with the annual payment (“pay for 10 months, get 12”) there is no commitment, because the period is already paid. The initial payment is not discounted or refunded once the proposal is approved, with one exception: if within the first 7 days after the initial payment we have not delivered the first design proposal, that payment is refunded in full. Each delivery includes 2 rounds of adjustments on the approved design, which you may request within 7 days of each delivery. If delays originate with the client (missing content, lack of responses or approvals), we grant a free extension of up to 30 days, after which the project is closed with the existing deliverables. Custom projects (applications, integrations, large e-commerce) are quoted separately and their payment terms are documented in an individual proposal. Late payments of the monthly fee or recurring services may result in service suspension.
6. 6. Limitation of Liability
DBarreto Digital Solutions strives to provide the highest quality services. However, we do not guarantee specific business outcomes such as increased sales or traffic. Our total liability shall not exceed the total amount paid for the service in question. We shall not be liable for indirect, incidental, or consequential damages arising from the use of our services.
7. 7. Termination
The monthly fee of our plans has a 12-month minimum commitment; the annual payment replaces that commitment. Once the minimum period is met, the plan continues month to month and either party may end it with 30 days' written notice. When a plan ends, the associated site, hosting, and email are taken down; the domain can be transferred to the client. For other recurring services without a commitment (maintenance of third-party sites, monthly SEO, AgendaSaaS), either party may cancel with 30 days' written notice. DBarreto Digital Solutions reserves the right to terminate services immediately in case of violation of these terms, misuse of the platform, or non-payment.
8. 8. Governing Law
These terms are governed by the applicable laws in the jurisdiction where DBarreto Digital Solutions operates. Any disputes will first be resolved through good faith negotiation and, if unresolved, through arbitration or the competent courts of the applicable jurisdiction.
9. 9. Changes to the Terms
DBarreto Digital Solutions reserves the right to modify these terms at any time. Significant changes will be notified to active users by email or through a notice on our website. Continued use of our services after such changes constitutes acceptance of the new terms.
